Welcome to Small Plates & Co. ("we," "us," "our"). These Terms of Service ("Terms") govern your access to and use of our website at smallplatesandcompany.com (the "Site") and all related services, including the creation of collaborative recipe book projects, the collection of guest contributions, the generation of digital samples, and the customization, production, and delivery of physical recipe books (collectively, the "Service").
By accessing or using the Service — including by creating an account, signing in, creating a project, or submitting any content — you agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, do not access or use the Service.
THESE TERMS CONTAIN A BINDING ARBITRATION PROVISION AND A CLASS ACTION WAIVER (SECTION 13) THAT AFFECT YOUR LEGAL RIGHTS. THEY REQUIRE THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS OR CLASS ACTIONS. PLEASE READ THEM CAREFULLY. YOU MAY OPT OUT OF ARBITRATION WITHIN 30 DAYS OF ACCOUNT CREATION AS DESCRIBED BELOW.
1. The Service
Small Plates & Co. provides a platform where users can create collaborative recipe book projects for weddings and other occasions. The Service lets a user create a project, invite guests to contribute recipes, personal messages, and photos, view their collected contributions online, generate a digital sample, and — if they choose — order a designed, printed hardcover book.
1.1 Free Projects and Paid Books
Creating an account and a project is free. You can create a project, invite guests, collect contributions, and view a digital sample at no cost. Payment is required only if and when you choose to order a printed physical book. We may offer additional paid products or features from time to time, which will be described on the Site at the point of purchase. We reserve the right to change, limit, or discontinue any free or paid feature at any time, as described in Section 14.
1.2 User Types
There are two types of users of our Service:
- "Customers" (also "Organizers") are individuals who create and manage a project, including inviting guests. A Customer may use the free portions of the Service without ever making a purchase, and becomes a paying customer only upon ordering a printed book or other paid product.
- "Guests" or "Contributors" are individuals invited by a Customer to submit recipes, messages, and photos for inclusion in a project. Guests may contribute without creating an account.
1.3 Accounts and Sign-In
To use certain features of the Service, you must have an account. An account may be created when you sign up, or when you accept an invitation to participate in a project. We use passwordless and third-party sign-in methods, which may include one-time email sign-in links ("magic links") and signing in with your Google account ("Sign in with Google"). Some parts of the Service, including certain guest flows, may instead use a password you create.
You agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for maintaining the security of your account and the email account or third-party credentials used to access it, and for all activity that occurs under your account. You agree to notify us immediately at team@smallplatesandcompany.com of any unauthorized use of your account.
If you sign in with Google, your use of that feature is also subject to Google's terms and privacy policy, and our use of information received from Google is described in our Privacy Policy and is limited to providing and improving the Service in compliance with the Google API Services User Data Policy, including its Limited Use requirements.
2. Orders and Payment
2.1 Pricing
All prices for paid products are listed on the Site and are in United States Dollars (USD). We reserve the right to change pricing at any time, but changes will not affect orders already placed and confirmed.
2.2 Payment
Payments are processed through third-party payment processors (such as Stripe or Gumroad). By submitting payment information, you represent that you are authorized to use the payment method provided. We do not store your full credit card information on our servers.
2.3 Shipping
Customers are responsible for providing accurate shipping information. Delivery times are estimates and not guarantees. We are not responsible for delays caused by shipping carriers, customs, or incorrect addresses provided by the Customer. International orders may be subject to import duties and taxes, which are the responsibility of the Customer.
2.4 Digital Samples and Previews
As part of the free Service, we may make available a digital sample or preview of your book (for example, a low-resolution PDF containing a limited number of finished recipes). Digital samples are provided for your personal, non-commercial use only, to help you preview the product before purchasing. They are intended as previews and not as a substitute for the printed book. Digital samples may be watermarked, limited in length or resolution, and changed or discontinued at any time. Because digital samples are provided free of charge, they are provided "as is" and are not eligible for refunds.
2.5 Refunds and Cancellations
Because each printed book is a custom, made-to-order product, all sales of printed books are final once the book has entered production. If you wish to cancel an order before production begins, please contact us at team@smallplatesandcompany.com, and we will evaluate cancellation requests on a case-by-case basis. If we are unable to deliver a book due to our own error, or if a book arrives with a printing defect or shipping damage, we will offer a replacement or a refund; we may ask you to send photographs for our documentation. Free features and digital samples are provided at no cost and are not subject to refunds.
3. User Content
3.1 Content Submission
By submitting content to the Service — including recipes, personal messages, photographs, and any other materials (collectively, "User Content") — you represent and warrant that:
(a) You are the original author or have the right to submit the content;
(b) The content does not infringe the intellectual property rights, privacy rights, or any other rights of any third party;
(c) The content is not unlawful, defamatory, obscene, or otherwise objectionable;
(d) If any other person appears in or is identifiable from your content (for example, in a photograph), you have obtained that person's permission to submit it; and if that person is a minor, you have obtained the consent of their parent or legal guardian.
3.2 License to User Content
By submitting User Content, you grant Small Plates LLC a non-exclusive, worldwide, royalty-free, transferable, and sublicensable license to host, store, use, reproduce, modify, adapt, format, display, print, and distribute your User Content for the purpose of operating, providing, and improving the Service — including displaying your contributions within a project, generating digital samples, and producing and delivering any printed book(s) ordered through the Service. We will not use your User Content for unrelated purposes (such as marketing or advertising) without your separate permission. You retain ownership of your User Content as described in Section 3.4.
3.3 No Obligation to Use; Right to Remove
We reserve the right, but have no obligation, to review, edit, refuse to include, or remove any User Content, at our sole discretion, including content we reasonably believe violates these Terms or applicable law. We may edit recipes for clarity, formatting, and consistency, including through the use of automated tools. We do not routinely review User Content, and you should not assume that we do.
3.4 Content Ownership
You retain ownership of your User Content. We do not claim ownership of your recipes or personal messages. However, the design, layout, templates, and typography we use to organize and present that content through the Service are proprietary to us and remain our property. You acknowledge that once your content is printed in a physical book, the physical book becomes the property of the Customer who ordered it.
3.5 Use of AI Tools and Visual Imagery
We may use artificial intelligence tools and manual design processes to assist with recipe formatting, editing for clarity, and creating visual images to accompany recipes. These images are artistic interpretations intended to complement the submitted recipe and do not purport to be exact representations of the contributor's dish as prepared. Variations between a generated image and the actual dish are inherent to the creative process and do not constitute a defect in the product, and are not grounds for a refund, replacement, or credit. AI-generated suggestions and outputs should be reviewed by you; you remain responsible for the accuracy and appropriateness of content you submit or approve.
3.6 Backups
We are not responsible for any loss or removal of your User Content, and we encourage you to keep your own copies of any content that is important to you.
4. Intellectual Property
The Service, including the Site, its design, layout, book templates, typography, and all related branding and creative elements, are the property of Small Plates LLC and are protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any part of the Service without our prior written consent.
The names "Small Plates," "Small Plates & Co.," and associated logos and brand elements are trademarks of Small Plates LLC. You may not use these marks without our prior written permission.
5. Prohibited Uses
You agree not to use the Service to:
(a) Submit content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable;
(b) Impersonate any person or entity or misrepresent your affiliation with any person or entity;
(c) Interfere with or disrupt the Service or its servers or networks;
(d) Attempt to gain unauthorized access to any part of the Service or to another user's account;
(e) Use the Service for any commercial purpose other than as a Customer purchasing books through the Service;
(f) Scrape, crawl, or use automated means to access the Service without our consent;
(g) Collect or store personal data about other users except as necessary to use the Service as intended;
(h) Engage in any unlawful or fraudulent activity, or violate any applicable law or regulation.
6. Account Suspension and Termination
You may stop using the Service at any time. We may suspend, limit, or terminate your account or access to the Service at any time, with or without notice, including if we reasonably believe you have violated these Terms, if your use poses a risk to us or other users, or if we are investigating suspected misconduct. We may also remove projects or content as described in Section 3.3. If we terminate your account other than for a violation of these Terms, we will, where reasonably possible, give you a reasonable opportunity to retrieve your content first. Sections that by their nature should survive termination (including Sections 3.2, 4, 7–13) will survive.
7. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
Because each book is a handcrafted product, minor variations in color, printing, and binding may occur. These variations are inherent to the production process and do not constitute defects.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SMALL PLATES LLC, ITS MEMBERS, MANAGERS, EMPLOYEES, AGENTS, SUPPLIERS, AND DISTRIBUTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, DATA, OR CONTENT, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM, OR (B) FIFTY U.S. DOLLARS ($50).
YOUR SOLE AND EXCLUSIVE REMEDY FOR DISSATISFACTION WITH ANY PRODUCT YOU HAVE PURCHASED IS TO OBTAIN A REPLACEMENT OR REFUND AS DESCRIBED IN THESE TERMS, AND YOUR SOLE AND EXCLUSIVE REMEDY FOR DISSATISFACTION WITH ANY OTHER PORTION OF THE SERVICE IS TO STOP USING IT. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
9. Indemnification
You agree to indemnify, defend, and hold harmless Small Plates LLC, its Members, Managers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of any third party.
10. Copyright and DMCA
We respect intellectual property rights and expect users of the Service to do the same. If you believe that content on the Service infringes your copyright, you may submit a written notice to our designated agent under the Digital Millennium Copyright Act (DMCA) containing: (a) your physical or electronic signature; (b) identification of the copyrighted work claimed to be infringed; (c) identification of the allegedly infringing material and enough information for us to locate it; (d) your contact information; (e) a statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law; and (f) a statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the owner.
Send notices to: Small Plates LLC, Copyright Agent, team@smallplatesandcompany.com. We may remove allegedly infringing content and terminate the accounts of repeat infringers in appropriate circumstances.
11. Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding the collection, use, retention, and protection of your personal information, including information from guests and from third-party sign-in providers.
12. Third-Party Services
The Service may contain links to, or integrations with, third-party websites, services, sign-in providers, and payment processors (such as Stripe, Gumroad, Google, and messaging services like WhatsApp used to share invitations). We are not responsible for the content, privacy policies, or practices of any third-party services. Your use of third-party services is at your own risk and subject to the terms and conditions of those services.
13. Dispute Resolution; Arbitration and Class Action Waiver
Please read this section carefully. It affects your legal rights.
13.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflicts of law principles, except where preempted by applicable federal law (including the Federal Arbitration Act) or where mandatory consumer-protection or data-protection laws of your jurisdiction apply.
13.2 Informal Resolution
If you have a dispute with us, you agree to first contact us at team@smallplatesandcompany.com and attempt to resolve it informally and in good faith for at least thirty (30) days before initiating arbitration.
13.3 Binding Arbitration
If we cannot resolve a dispute informally, you and Small Plates LLC agree that any dispute arising out of or relating to these Terms or the Service (whether based in contract, tort, statute, or any other legal theory) shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect. Arbitration shall take place in the State of Wyoming or, at your election, by telephone, video, or written submissions. Judgment on the award may be entered in any court of competent jurisdiction.
13.4 Class Action Waiver
You and we agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative action. The arbitrator may not consolidate more than one person's claims and may not preside over any class or representative proceeding. If this class action waiver is found unenforceable as to a particular claim, that claim (and only that claim) shall be severed and brought in a court of competent jurisdiction in Wyoming, while all other claims proceed in arbitration.
13.5 30-Day Right to Opt Out
You may opt out of the arbitration and class action waiver provisions in Sections 13.3 and 13.4 by emailing team@smallplatesandcompany.com within thirty (30) days of first creating your account, with your name, account email, and a clear statement that you wish to opt out of arbitration. Opting out will not affect any other part of these Terms.
14. Changes to the Service and to These Terms
We are continually improving the Service and may add, change, suspend, or remove features at any time. We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on the Site with a new "Last updated" date and, where appropriate, by other reasonable means. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.
15. General Provisions
These Terms constitute the entire agreement between you and Small Plates LLC regarding the Service and supersede all prior agreements. If any provision is found unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any provision shall not constitute a waiver. You may not assign or transfer these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms do not create any third-party beneficiary rights.
